HomeMy WebLinkAboutCenter State Artisits AU: 777 n%%IUN Yo AGREEMENT FOR ARTISTIC SERVICE THIS AGREEMENT is made and entered into this Lk day of pt, 2015, by and between the City of Auburn, Washington (PRESENTER), a Municipal Corporation of the State of Washington herein referred to as "CITY" and Stunt Dog Productions herein referred to as "ARTIST" represented by Center Stage Artists whose contact information is 524 Pauline Blvd, Ann Arbor, MI 48103, herein referred to as "AGENT". WHEREAS, the CITY desires to contract with the ARTIST to provide a performance (performances) for the public in Auburn, Washington; and WHEREAS, the ARTIST has agreed to perform the work in compliance with the terms and conditions of this Agreement; NOW THEREFORE, the CITY and ARTIST in consideration of the conditions and covenants herein do agree as follows: 1. RETENTION OF ARTIST: The CITY does hereby retain the ARTIST to perform the work and services described herein. The parties agree that the ARTIST is an independent contractor and shall furnish all supervision, labor, and all other incidentals except as specifically provided herein and the ARTIST agrees to conduct and complete the performance in a competent and professional manner in accordance with the terms of this Agreement. 2. SCOPE OF WORK: The ARTIST agrees to provide)the following specific services: Saturday,April 9, 2016 2 pm and 7:30 pm. Two (2) performances (plus intermission). Performance is 70 minutes in total per show. Includes Two (35) minute sets with an intermission. Plus a pre-show and post-show meet and greet. 3. SITE OF PERFORMANCE: The ARTIST will condo t its performance at the AUBURN PERFORMING ARTS CENTER, 702 Fourth St. N.E. Aubuirn, WA 98002(NOTE: Venue is NOT the presenter!) herein referred to as "VENUE" 4. REQUIREMENTS a. The CITY shall provide the following for this performance: Promotion of performance and performance programs; Box office management and staffing; Ushers and front-of-house staffing (not incl. merchandise sales - Reference Item 7-C below). b. The ARTIST shall provide the following for the performance: Provide scores and parts for the company and pay all fees (if any) except BMI, ASCAP and SESAC associated with public performance of music; Engage and rehearse the company; Provide program content, biographies, and optional photographs of key production staff and artists for performance program and public relations materials with the execution of this contract; Additional promotion of event as negotiated with CITY. c. Technical Requirements:T he CITY shall provide the following technical assistance for this performance: The CITY will assist with coordination of technical services between the VENUE and the ARTIST. The CITY agrees to provide, through the VENUE, technical labor for this production, as detailed in the ARTISTS's Technical rider(See Addendum)and as approved by the technical director of the VENUE and the ARTIST. ARTIST Fee: In consideration of the servic:s to the CITY in connection with the ARTIST scope of work (performance),the ARTIST shall rec-ive total compensation of Eight thousand, seven hundred and fifty dollars $8,750. b. Complimentary Company Tickets: The ARTIST shall be provided up to Ten (10) complimentary tickets for the performance. The A• 1ST may request tickets in advance or provide the CITY box office representative with a gu-st list 30 min. prior to the performance. c. Hotel Accommodation: 2 double hotel roo s for Saturday, April 9, 2016 in an animal friendly hotel. 6. PAYMENT SCHEDULE The ARTIST shall be paid as outlined in Item 5 above by the CITY for the completed work and performance in compliance with the terms of this Agreement. Such payment shall be full compensation for all work performed and services rendered under the terms of this Agreement. The payment to the ARTIST shall be in compliance With the regulations of the CITY Finance Department. The ARTIST agrees to be responsible for payment of any and all taxes,which may be due as a result of performance under this contract. a. Deposit of$4250 made payable to Center State Artists will mailed to Center Stage Artists herein referred to as "AGENT." within 30 days of the execution of this contract, no later than December 31, 2015,an d no later than, per compliance with the regulations of the CITY Finance Department. b. Balance of$4500 made payable to Stunt Dog Productions will be delivered to the ARTIST's company manager or his/her designee immediately following the performance. The payment to the ARTIST shall be in compliance with the regulations of the CITY Finance Department. The ARTIST agrees to be responsible for payment of any and all taxes,which may be due as a result of performance under this contract. 7. PROMOTIONAL RESPONSIBILITIES a. Promotional materials shall be mutually agreed upon between the CITY , ARTIST, and AGENT. b. The ARTIST assumes sole and total responsibility for all of ARTIST Merchandise Concessions, if any, including inventory,cash bank, credit card supplies and sales personnel. ARTIST maintains 100% of total sales receipts of ARTIST Merchandise. The CITY and/or VENUE will provide (1)table in the lobby of the VENUE for Merchandise Sales. If ARTIST cannot provide sales personnel, the CITY will provide up to two volunteer personnel. ARTIST and/or AGENT must sign a waiver releasing the CITY of any liability regarding the sale of merchandise. c. CITY agrees to print program copy as supplied by ARTIST and agrees to bill artists as "Chris Perondi's Stunt Dog Experience" on all printed materials. 8. INDEMNIFICATION The ARTIST agrees to indemnify, defend and hold the CITY, its AGENTs, representatives and employees harmless from and against any and all claims, causes of action or demands or any form of liability of any nature including, but not limited to any copyright infringements for musical BRAVO 2015-2016 Season Agreement—Chris Perondi's Stunt Dog Experience Page 2 of 6 Atj: URN UN YOU' 41stp oost performances, arising out of the performance and obligations contained in this Agreement on the part of the ARTIST , its AGENTs, representatives and employees except where such claims arise solely from the negligent acts of the CITY, its AGENTs, representatives or employees. 9. INABILITY TO PERFORM If ARTIST is incapacitated from rendering services through sickness or otherwise, or if ARTIST cannot perform because of fire, accident, act of God or impossibility of performance, through no fault of the CITY, the performance(s) (Item 2: Scope of Work) shall be rescheduled at a mutually agreed upon date to occur not more than 12 months following the date of the initially scheduled performance, either at the same VENUE as initially scheduled or at another comparable venue available to the CITY for such performance. If the performance cannot be rescheduled within that period, 100% of Deposit(Item 6: Payment Schedule) paid to ARTIST shall be returned to CITY. If the ARTIST services cannot proceed through some fault of the CITY due to causes other than fire, accident, act of God or impossibility of performance, the CITY shall reschedule the ARTIST services on a mutually agreed upon date between CITY and ARTIST at a mutually agreed upon date to occur not more than 12 months following the date of the initially scheduled performance, either at the same VENUE as initially scheduled or at another comparable venue available to the CITY for such performance. 10. Load-in and parking for the 40 foot fifth wheel trailer should be made available near the theatre for the duration of the run at no expense to the company.Overnight electric power is required for the RV with 30/50 amps. Additional parking needed for two pick-up trucks as close to the stage entrance as possible. RUNNING TIM E-Performance is 70 minutes in total per show. Includes Two(35)minute sets with an intermission.(Plus a pre-show and post show meet and greet). ADVANCE-Chris Perondi will contact you 10 days to two weeks prior to show date to discuss details of arrival time, load-in,and flooring. LOADING AREA-The theatre must be made available to the company at least 6 hours prior to the first performance.This includes dressing rooms, lobby and theatre proper and all standard work areas. Stage and loading dock should be swept and clear of all debris and unnecessary equipment prior to the company arrival. LOAD IN-Load in will commence approximately 6 hours prior to curtain time or the day before if allowed. Lighting should be pre-hung,gelled,and patched according to the light plot that will be sent in advance. Please have monitors pre-setup and stairs in place leading to the audience for crowd participation.One 8 foot table will be required in staging area. Please provide three stage hands to help with the load in and tear down. CREW CALLS- LOAD IN&REHEARSAL-3 Stagehands- For unloading of equipment,hang banners,setup flooring,etc. 2 Stagehands- Needed for rehearsal AFTER"Load In" 1 Stage Electrician (as needed) 1 Sound Engineer/Technician 1 Light Technician SHOW CALL- 2 Stagehands-To move props during the show(same people as rehearsal) 1 Sound Technician-To handle our music track transitions and volume levels 1 Light Technician 1 Follow Spot Operator(OPTIONAL:if venue has follow spot) LOAD OUT-3 Stagehands for loading of props and equipment The above crew requirements are based on a typical load in show situation. If a local union requires additional crew, these will be provided at no expense to the company. STAGE- In traditional theatre spaces.we can expand the set substantially and use as much of the playing space as necessary. MASKING-If your theatre has house masking,we will most likely incorporate legs and borders to dress the stage. PHYSICAL PRODUCTION-Company travels with full set,costumes,and props. Please let us know about the availability of a Ily system and the amount of pipes available,as we do have three curtain banner drops,which will need to bind to the pipes. ELECTRICS-We will utilize your house lighting system.Our requirements consist of white. blue, and red washes. (No moving heads or intelligent lighting required.) We require monitors. LIGHTING - We will utilize your house lighting system.Our requirements consist of white.yellow,magenta,dark purple and red washes. Black light/UV effect, if available,(No moving heads or intelligent lighting required.) DRESSING ROOMS and RESTROOM— We will need two clean,well-lighted rooms that are not used by the public. These rooms need to be as close to the stage as possible. Also at least one, recommended two,rooms OR 1 5x15 areas adjacent to the stage would be requested to kennel the dogs.A door or soundproof barrier between the stage and these adjacent room(s)/area(s)is highly recommended.A restroom(also not used by the public) should be made available to the artists as close to the dressing rooms as possible. WARDROBE-Three back stage tables(for wardrobe and props)are needed. Such tables should be approximately 3' x 6'. FLOORING—Artist will provide a safe stage surface for the safety of the dogs.The Company needs three stagehands to setup flooring upon arrival. Stagehands will also need to immediately tear down and load flooring after the last show. It is understood that PRESENTER will handle the complete setup and teardown of flooring,as company staff is not required to handle flooring. LODGING —Two(2)double bed rooms in an animal friendly hotel. HOSPITALITY—PRESENTER shall provide: I.Assortment of coffee/juices/water and snack type foods(i.e.bagels, fruit) for the crew throughout load-in. 2.A hot meal for five cast and staff(i.e. salad,pasta, chicken,and dessert)and an assortment of non-alcoholic beverages(i.e. coffee,tea,soda and juice) is requested two hours before each performance. 3.Twelve bottles of water must also be provided before each performance. Usually, most details can be taken care of once the company arrives for load-in as long as your technicians are present and up to speed on all your equipment.
