AUTHORIZATION ADID iNDEMIvIFICATION
PARTICIPANT DIRECTED ACCOUNT
The undersigned is the Trustee for the City of Auburn 457 plan (the
"Plan"). As the [nutee, it is acknowledged that the undersigned is solely authorized to di:E;ct the
investment or redemption of OppenheimerFunds shares held by [he Plan for the benefit of the
Plan panicipants.
The undersigned wishes to give the Plan participants the ability to exchange shazes held
in Plazi accounts for iheir benefic for shazes of other Oppenheimer funds upon receipt by
OppenheimerFunds Services ("OFS") of written or telephone instructions from the Y1an
pazticipant in accordance with ceasonable procedures to confirni that the exchange insiructions
are genuine. The undersigned acl:nowledges that OppenheimerFunds Services does not have th�
ability to prevznt, and shall not be responsible for preventing, a Plan panicipant from exchc.neinc
into an Oppenheimer fund which has not been chosen ss an authorized Plan investmzn[ aption.
Instead, the updersigned shall instruct all Plan participants that their ability to exchange is limited
only to those Oppenheimer funds it has selected.
In con�ideration for OFS acting upon ihe exchange instnzetions o�Plan participen:s, tlie
undersigned and any successor Plan sponsor hereby indemnifies and 'nolds humless OFS its
�ffiliaces and each of their officers, agencs, employees and direc?ors frorim and against anv and all
claims, demands, controversies, actions, losses, damsges, liabilicies, expeaszs, complaincs or
investigations including, without limication, reasonable attorneys' fees and court costs, chat are
the result of or azise directly or indirzctly, in whole or in part, from OFS acting uoon che wri�t�n
or telephone e�change instructions which are determined to be genuine in accordance with
reasonable procedures zstablishzd by OFS, This indemnification shall not apply to anv losszs or
zxpenses occasioned solely by the failure of OF3 to comply with any prope: and unambieuous
exchangz instructions acknowledged to have beon received by OFS, or solely by any negligent
act or omission of OFS in effecting any such exchange transaction.
£ither pany mav terminate this aoreement upon prior written notice to the other party
Tzrmination shall be deemed effective as of the date indicated in the notice but in ne e��ent prior
to the date of delivery to OFS. Tn the event of such teanination, this s;iezinent sha11 remain
effective as to instructions [o exchange shares of a Fund effected prior to such termination but
pursuant to the provisions hereof.

The validity, construction snd interpretation of this agreement shall be ;ovemed bY Lhe
laws of the State of New York applicable to conaacts enforced in and to ba performed wnolly
within the State of I�ew York,
