AGREEMENT FOR THE FORMATION OF A
COLLABORATION OF HEALTH CARE PROVIDERS
AND STAKEHOLDERS
THIS AGREEMENT made and entered into on 6'�day of January, 2016, by and between
the City of Aubum, a municipal corporation ofthe State of Washington, hereinafter referred to as
"City," and MultiCaze Health System, hereinafter referred to as "MHS."
WITNESSETH
WHEREAS, the health of the citizens of Auburn is important to the City and to its
heakhcaze providers, all of whom shaze the goal of making Auburn the Healthiest City in
Washington liy 2020; and,
WHEREAS, it would be advantageous to the City and to regional healthcare providers
for a wllaboration of health caze providers and stakeholders to exist for the purpose of
addressing with commitment and support health related issues of the Auburn community; and
WHEREAS, MHS is a Washington nonprofit wrporation and integrated delivery system
that operates Aubum Medical Center and other hospital and outpatient facilities in King and
Pierce Counties, Washington that participates in a vaziety of population initiatives in the
communities it serves in furtherance of its tax-exempt and charitable mission; and
Whereas, the Healthy Cities/Healthy Communities Program which promotes contindally
creating and improving those physical, social, economic and behavioral determinants, and
expanding those clinical and community resources which enable people to mutually support each
other in perfomung all of the essential functions of life and developing to their maximum
potential, with the guidance and support of a Blue Ribbon Committee established for that
purpose; and
Whereas, this pmgram auns to place health high on the agendas of decision-makers and
to promote comprehensive local strategie"s foi health protection and sustainable development.
NOW, THEREFORE, the City and MHS (collectively, the "pazties") agree as follows:�
1 Scope of Servides.
The Parties agree to collaborate in a good and professional manner on the tasks described
on E�chibit ".A" attached hereto and incorporated herein by this reference (Functional Plan
and Strategies" for Formation of a Collaboration of Health Care Providers and
Stakeholders), and such otfier tasks as are consistent therewith and supportive thereof.
2. ContinuationofPerforniance.
In the event that any dispute or conflict arises between the parties while this Agreement is
in effect, the parties agree that, notwithstanding such dispute or conflict, the parties shall

continue to make a good faith effort to cooperate and conturue work towazd successful
completion of assigned duties and responsibilities.
3 Administration of Ag,rreement.
This Agreement shall be administered by William G. Robertson, President and CEO, or
his designee, on behalf of MHS, and by the Mayor of the City, or designee, on behalf of
the City Any written notices required by the tenns of this Agreement shall be served on
or mailed to the following addresses:

4. Notices.
All notices or communications permitted or required to be given under this Agreement
shall be in writing and shall be deemed to have been duly given if delivered in person or
deposited in the United States mail, postage prepaid, for mailing by certified mail, retum
receipt requested, and addressed, if to a party of this Agreement, to the address for the
party set forth above, or if to a person not a party to ttiis Agreement, to the address
designated by a party to this Agreement in the foregoing manner.
Any party may change his, her or its address by giving notice in writing, stating his, her
or its new address, to any other party, all pursuant to the pmcedure set forth in this
section ofthe Agreement.
5 Indemnification.
Each party shall indemnify, defend and hold hazmless the other and its officers, agents
and employees, or any of thein from any and all claims, actions, suits, liability, loss,
costs, expenses, and damages of any nature whatsoever, including attorney fees, by any
reason of or arising out of the act or omission of the party, its officers, agents, employees,
or any of them relating to or arising out of the performance of this Agreement except for
injuries and damages caused by the sole negligence ofthe party
6. Independeirt Contractor;No Expectation re�arding Referrals.
MHS and the City shall, at all times, act and perform as independent contractors. Nothing
in this Agreement is intended or shall be construed to create an employment, principal-
agent, partnersliip, or joint venture relationship between the City and MHS. Further,
MHS and the City acknowledge and confirm that this agreement is in fulfillment of
MultiCaze's charitable and tax exempt mission to support and promote the health and well
being of residents in the communities served by MHS, and that MukiCare's participation
in the program is not intended, nor construed, as an inducement or payment, direct or
indaect, in return for the referral of patient to any MHS facility

7 Assignment.
Neither party to this Agreement shall assign any right or obligation hereunder in whole or
in part, without the prior written consent of the other party hereto. No assignment or
transfer of aciy interest under this Agreement shall be deemed to release the assignor from
any liability or obligation uudei this Agreement, or to cause any such lialiility or
obligation to be reduced to a secondary liability or obligation.
8. Amendment, Modification or Waiver.
No amendment, modification or waiver of any condition, pmvision or term of this
Agreeinent shall be valid or of any effect unless made in writing, signed by the pazty or
parties to be bound, or such party's or parties' duly authorized representative(s) and
specifying with particularity the nature and eactent of such amendmenty modification or
waiver. Any waiver by any party of any default of the other pazty shall not effect or
impair any right arising from any subsequent default.
9 Termination and Suspension.
Either party may terminate this Agreement upon written notice to the other party
10. Entire Agreement.
This Agreement contains the entire understanding of the parties hereto in respect to the
transactions contemplated hereb"y and supeisedes all prior ageements and understandings
between the parties with respect to such subject matter.
11 Counteroarts.
This Agreement may be executed in multiple counterparts, each of which shall be one
and the satne Agreement and shall become effective when one or more counterparts have
been signed by each of the parties and delivered to the other party

FUNCTIONAL PLAN AND STRATEGIES
Timing is excellent for the City of Auburn to form a collaborative, substantive, alliance with the '
major healthcare network in Aubum - MultiCaze Health System (MHS). MHS is committed to I
Southeast King County not only in Auburn with MultiCaze AuBurn Medical Center, but also in
Covington where construction of a hospital is underway In addition fo the hospitals, MHS Has
established numerous physician clinics and outpatient services and is committed to building and
promoting the health ofthis community. The purpose of an alliance with and MHS is to:
• Formally unite to improve health status and wmmunity health lifestyles in Auburn
and surrbunding communities.
• Leverage and maximize resources by pooling talent, expertise and resources.
• Support each other's efforts in the promotion of health, communicating on major
community health decisions
• Set an example of the importance of strategic community partnerships to achieve
health goals.
• Build formal relationships with other major community stakeholders of both public
and private sectors; Examples such as the Aubiun School District, Green River
College, King County Public Health, Muckleshoot Tribal Nation, Healthpoint,
Auburn Valley YMCA, and Valley Cities Mental Health.
• Appoint a member of the MHS-Aubum network to serve on a Blue Rbbon I
Committee to be formed in support ofthe Functional Plan and Strategies.
• Formalize a community health goaUpolicy at the Hospital Board and City Council
level, and develop a community health service presence as possible in each I
o;gani7ation. ,
• Increase credibility beyond the scope of the individual organization.
� Be more appealing to other potential resources including funding sources, and
collaborate on grant writing as needed and when feasible.
• Cieate a moie visi�le healthcaze districUcampus with possible flag signage forming
boundaries and-close D�vision,�Street as a public thoroughfaze. ,� � ,
• Provide City assistance as needed in the recruitment of related services such as
durable medical equipment.
• Improve communication and create better ways to reach audiences where they spend
time living, working and playing.
• Reduce health related wsts-both direct and indirect.
• Realize that no one stakeholder can solve the problem
