WHEREAS, the Economic Development Council of Seattle and King County (EDC) is a private nonprofit corporation representing a coalition of business, government, labor, environrimental and education leadership dedicated to planning, developing, and implementing economic development , strategies; and WHEREAS, economic development strategies are those public and private actions which aid in enhancing a community's quality of life and bringing its citizens into the economic mainstream through the retention and creation of businesses providing family wage jobs in King County; and WHEREAS, the Gity desires to have certain services perFormed by fhe EDC as described within this contract. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH . RESOLVES THAT: SECTION 1. The Mayor of the Cify of Auburn, Washington, is herewith authorized to execute the 2001 Serviee Agreement between the CITY OF Resolution No. 3342 March 22, 2001 Page 1 AUBURN and the ECONOMIC DEVELOPMENT COUNCIL OF SEATTLE AND KING COUNTY, wherein the Council will promote a diversified economic base consistent with creating employment opportunities for King County residents and maintaining a high quality environment as well as other services as set. forth in the Service Agreement. A copy of said Agreement denominated as Exhibit "A'` is attached hereto and incorporated herein. SECTION 2. ECONOMIC DEVELOPMENT COUNCIL OF SEATTLE &KING COUNTY PUBLIC SECTOR SERVICE CONTRACT CONTRACTIl�TG ORGANI2ATION: Auburn CONTRACT AMOUNT: $4,167 _ _ _ CONTRACT PERIOD: January 1,2001-December 31,2001 THIS CONTRACT is entered into by the City of Auburn (the Organizafion) and the Economic Development Council of Seattle & King County (the EDC), 1301 Fifth Avenue, Suite 2400,Seattle,Washington 98101. WHEREAS, the EDC is a private non-profit corporation representing a coalition of business, government, labor, environmental and education leadership dedicated to planning, developing, and implementing economie development strategies. WHEREAS, economic development strategies are those public and private actions which aid in enhancing a communify's quality of life and bringing its citizens 'irito the economic mainstream by planning and building local economic capacify such as: an effective education and training system; sound transportation and physical infrastructure; diversified private and public investments; and�a competitive and skilled workforce. WHEREAS, the Organization desires to have certain sereices.performed by the EDC as described within this contract. NOW, THEREFORE, in conside.ration of payments, covenants, and agreements hereinafter mentioned, to be made and performed by the parties hereto, the parties covenant and agree to the following: I. EDC SCOPE OF SERVICES The EDC shall provide the following services for the Organizatiori: A. The promotion of a diversified economic base consistent with creating employment opportunities for King County residents and maintaining a high quality enyironment. B. The establishment of a close and ongoing working relationship with private businesses, labor, community and organizations, and other units of government to protect and maintain economic vitality and to ------- - . ----, . The creation of a supportive business climate for private sector investrnent which encourages: 1. the retenfion of existing tiusinesses and the revitalization of existing business communities 2. the expansion of existing business,and 3. the creation of new business firms.. D. The promotion of inechanisms aimed at shifting commuter behavior away from the single- occupant automobile in order that existing transportation infrastructure can be utilized in the most efficient'manner;and participating in future planning of such infrastructure in King County. E. The encouragement of commercial and industrial facilities locations consistent with the land use and growth managemerit goals, objectives and policies of the affected governmental jurisdictions. : F. The encouragement of new business development in King County and promotion of investrnent through counseling and information services. G. The implernentation of the 2001 Workplan,attached. Including(as described on Page 4 of the Workplan: The EDC will refer at least three (3) non-warehouse businesses to Auburn during the year. The EDC will provide a list of contacts to Auburn by name, type of business and where Ehe business decided to locate at the end of the contract year for all businesses not still in negotiation through the assistance of the Council. II. ' DURATION OF CONTRACT This contract shall commence on the lst day of January,2001 and shall terminate tlte 31st day of December,2001. III. COMPENSATION OF METHOD OF PAYMENT A. The EDC shall be reimbursed for satisfactory completion of the services and requirements ` as specified in this eontract in the amount of $4,167 to be paid in one annual payment upon contract execution. B. The EDC will provide quarterly activity reports. IV. INTERNAL CONTROL AND ACCOUNTING SYSTEM The EDC shall establish and maintain a system of accounting and internal controls which comply with applicable; generally accepted accounting principles; and governinental accounting and fin.ancial reporting standards. i � Resolution 3342 � ; Exhibit "A" ,_Page -2 - -�----� V. ESTABLISHMENT AND MAINTENANCE OF RECQRDS _ _ The EDC shall maintain accounts and records, including personnel, property, financial arid program reeords, and other records as may be deeinecl necessary by the Organization, to ensure proper accounting for project funds and compliance with this contract. VI: AUDITS AND INSPECTIONS A. The records and documents with respect to all matters covered by this contract shall be subject at all times to inspection, review, or audit by the Organizatiori and/or federal/state officials so authorized. B. The EDC shall have its annual financial statement reviewed by an independent certified public accountant. Gopies of any such review performed by an independent certified public accountant shall be provided to the Organization. If the independent certified public accountant issues an internal control or management letter, the EDC shall so notify the Organization and it shall be made available promptly to the Organization for review. C.. The EDC shall provide access of its facilities to the Organization, the state and/or federal agencies or officials at reasonable times to monitor and evaluate the services provided under this contract. The Organization will give advance notice to the EDC in the case of fiscal audits to be conducted by the Orgariization. VII. EVALUATION The EDC agrees to cooperate with the organization or its agent in the evaluation of the EDC'S performance under ttiis contraet and to make available all information reasonably required by any such evaluation process. IX, INSURANCE I The EDC shall procure and maintain for the duration of this agreement insurance against claims for injuries to persons or damages to proper-ty which may arise from, or in corinection with the performance of work hereunder by the EDC, its agents, representatives, employees or subcontractors. The EDC shall purchase this insurance. X. NONDISCRIMINATION During the performance of this contract, neither the EDC, its employees, representative agents or sulieontractors acting under. authority of this contract shall discriminate ori the basis of race, color, sex, religion, nationality, creed, sexual orientation, marital status, age, or the presence of any sensory, mental or physical handicap in employment or application EDG2000 PUBLIC SECTOR CONTRACT_ _- - - ---- 3 Resolution 3342 ', . Exhibit "A" � ', Page 3 ---- _, for employment or in the administration of delivery of services or any other benefits under this contract: XI: CONFLICT OF INTEREST The EDC eovenants that no officer, employee or agent of the EDC who exercises ariy functioris or responsibilities in eonnection with planning and implementing the program funded herein, or any person who presently exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein, or any person who presently exercises any functions or responsibilities in connection with the planning arid 'iinpleinentation of the program funded herein shall have any personal financial iriterest, direct or indirect, in this contract. None of the funds, materials, property or services provided directly or indirectly under this contract shall be used for any partisan political activity or to further the election or defeat of any candidate for public office. � XII. INDEMNIFICATION The EDC shall hold the Organization and its officers, agents and employees acting in the capacity or course of employment, harmless from all suits, claims or liabilities of any nature, including costs ancl expenses, for and on account of injuries or damages sustained by any persons or property resulting in whole or in part from activities or omissions of the EDC pursuant to this Agreement, or on account of any unpaid wages or other for services; and if a suit be filed, the EDC shall appear and defend the same at its own cost and expense, and if judgement be rendered or settleinent made requiring payment, the EDC shall satisfy and pay the same. XIII. NOTTCES Whenever thi.s contract provides for notice to be providecl by one party or another, such notice shall be: A. in writing;and B. directed to the chief executive officer of the EDC and the direetor/manager of the Organization specified on Page 1 of this contract. Any time within which a party must take some action sh.all be computed from the date that the notice is received by said party. XIV.
