WHEREAS, the CITY is owner in fee simple of certain reAl property located in the City of Auburn, King County, Washington, legally described on �xhibit `A' attached hereto and incorporated herein by reference, which pmperty is intended to be subject to this Dedication and burdened in perpetuity with this Dedication(the"Subject Property"); WHEREAS,the CITY orthe representative of the CITY executing this Dedication has the authoriTy to bwden the Subject Property for the purpose of granting a perpetual non-exclusive wetland conservation dedication (the "Open Space for Wetland Conservation Dedication") with respect to certain wetland and wetland buffer areas legally described on Exhibit `B' and `B-1' attached hereto and incorporated herein by reference (the "Wetland Pazcels") located on the Subject Property; WHEREAS, it is agreed that this Dedication be established to preserve the quality of wetlands for the benefit of public health, safety, and welfare; y��o a���� . �r re4ord by Pacific Nath:ar,�"i itid as aYoomrnoda[io�only.It hes rat baen exAm4wd as to proper exaau(don ar Open Space For Wetland Conservation Dedication � � • Page 1 of 4 . , . � _ , WHEREAS, it is unde;stood that preservation of the quality of wetlands is essential to maintaining a quality environment, maintaining quality water resources, and the preservation of wildlife, and that preservation of the qualify of wetlands is in conformity with the CITY'S Comprehensive Plan; WHEREAS, the CITY has acknowledged the important environmental value of this Dedication and agrees not to undertake any activity which will in any way be inconsistent with the preservation of the wetland or wetland buffer az8as or the quality of the wetlands on the Subject Property without appiopriate mitigation for said disturbances; NOW, THEREFORE, in consideration of benefits to be derived, the CITY hereby dedicates in perpetuity, open space for wetland conservation, for the benefit of the public, as follows: 1. AUTHORITY TO BURDEN SUBJECT PROPERTY. The CITY is the owner in fee simple of the Subject Property refened to above and Has full power and authority to burden the Sabject Property in perpetuity for the benefit of the public with this Dedication Of Open Space For Wetland Conservation. 2. PURPOSE. It is the purpose and intent of the CITY in establishing this Dedication to sausfy the requirements of the United States Army Corps of Engineers (ACOE Permit #2005-00-307) in connection with the conditions imposed upon the CITY for the West Valley Highway Pedestrian Facilities Project. 3. DEDICATION IN PERPETUITY. The CITY hereby dedicates in petpetuity nd covenants that the Dedication shall run with the land included in the Subject Property legally described in Exhibit `A' attached hereto. The Public Conservation and Open Space Dedication shall bwden the 8ubject Property and benef t the CITY and public. 4. HEIRS, SUCCESSORS. AND ASSIGNS. The Open Space for Wetland Conservation _ _ Dedication shall be binding on the officers, directois, sHazeholders, members, paztners, employees, agents, personal representatives, heirs, successors, and assigns of the parties. 5. SCOPE OF DEDICATION. The Open Space for Wetland Conservation Dedication sliall allow the CITY to enter upop the Subject Property for the purposes of monitoring, maintaining, preserving, and enhancing the Wetland Property legally described on Ex}iibit `B' attached hereto. T'he CITY covenants not to in any way impair or interfere with the function and use of the Wetland Properfy, and the CITY further covenants to take reasonable and necessary steps to restrict access to the Wetland Property and prohibit construction of any structures or artificial surfaces or alteration of any vegetation within the Wetland Property. No activity of any kind may take place within the Wetland Property without the prior approval by the Ciry of Auburn Director of Planning and Community Development. The CITY shall be permitted to enter onto the Subject Open Space For Wetland Conservation Dedication Page 2 of 4 Property at all reasonable times to monitor and maintain the Wetland Property or wetland functions such as rechazge, conveyance or storage of stormwater. The CITY shall not unreasonably iiiterfere with tHe owndrship, possessiori, use, or eiijoyment ofthe Subject Property when entering tlie Snbjeot Property to perfonn the permitted functions described herein. 6. PROHIBITED USES OF WETLAND PROPERTY. The CITY shall not undertake, nor cause to be undertaken any activity or use of the VJetland Property which is inconsistent with the purpo.se, scope, ot intent of this Dedication, nor inconsistent with wetland functions such as: recharge, conveyance, or storage of stormwater� mitigation measures required; and vegetative enhancement or protection. _ _ 7. RESERVED RIGHTS. The CITY reserves to itself all rights, title, interest, and obligations incidenf to ownership of the Subject Property and Wetland Property. ' 8. ENFORCEMENT. In the event that a violation of the terms of this Dedication is noted to the CITY in writing, the CITY shall have thirty (30) days from receipt of said notice to ctire the violation. If an enforcement action is initiated, the prevailing garty in snch action shall be entitled to recover reasonable attorney's fees and costs incurred in prosecuting or defending againgt such enforcement action, in addition to any other remedy or relief obtained. The CITY, at its option, may take action to preserve and protect the Watland Property or its wetland function, after first giding written notice, to profect the wetland, and, in such case, the reasonable expenses incurred by tha CITY shall be reooverable from the party that is found to be in violation of this Dedication. 9. NON-WANER OF BREACH. No omission or failure by the CITY to exercise or enforce any of its rights under this Dedication or to erifoice any breach hereof, nor any foibearance granted by the CITY, shap b:e de.eme.d or construed as a waiver by the CITY of such rights or a discharge of liability of the terms hereof. Nor sha11 any delay by the CITY in the exercise or enforcement of its rights and remedies limit or impair such right or remedy, or be conshued as a waiver of the CITY'S riglit to pursue its remedies. 10. COSTS_AND LIABILITIES. The CITY retains all responsibilities and will bear al1 costs and lialiilities of any kind related to or incidental to the ownership of the Wetland Property and agrees to pay all assessments and taacation (if any) against said Wetland Property assessed by any govenimental authority as they become due. ll. RECORDATION. The CITY agrees to incorporate the terms of this Agreement in any deed, lease (other than residential apartinent leases entered into in the ordinary course of the CITY'S business) or other agreement which diveststhe CITY of any interest in.any portion of the Subject Property. 1'he CITY shall record t}jis Dedication immediately in the Office of the King County Department of Records and Elections. If any provision of this Dedication is ruled invalid or unenforoeable for any reason by a court of competent jurisdiction, the remaining provisions hereof shall remain in force and effect.
