� (T"Effective Date"), by and between the CITY OF AUBURN, a municipal corporafion of the
State of Washington ("the CITY"), and THE YOUNG MEN'S CHRISTIAN ASSOCIATION
OF GREATER SEATTLE, also known as the YMCA of Greater Seattle, a non-profit corporation
organized under the laws of the State of Washington ("'the AGENCY").
RECITALS:
1. The AGENCY conducts street outreach efforts including community violence
response to high risk youth involved or at risk to be involved in gangs, violence, and the juvenile
justice system in the South King County cities of Auburn, Kent, and Renton (collectively the
"Cities" or the "Parties"); and
2. The Cities have determined that the AGENCY provides a valuable service; and
3. The CITY entered into a Joint Funding Agreement with the cities of Renton and
Kent (collectively the "Cities" or the "Parties") that allows the Cities to jointly fund and monitor
a single contract with the AGENCY for gang prevention and intervention services provided to
each of the Cities; and
4. The CITY OF AUBURN will continue its role as the Lead City under the Joint
Funding Agreement and the Cities have authorized an agreement with the Agency to renew
arrangements for the YMCA's Alive & Free Program on behalf of the Cities which are party to
the Joint Funding Agreement.
AGREEMENT:
In consideration of the mutual promises contained in this Agreement, the Parties agree as
follows:
PURPOSE
The purpose of this Agreement is to provide for an appropriation to the AGENCY in
exchange for the Agency's provision of the services in this Agreement to each participating City's
residents.
II. SCOPE OF SERVICES
The AGENCY agrees to provide services, as described in Exhibit 6 and incorporated
by reference.

III. TERM
The term of this Agreement commences on January 1, 2019, and expires on December
31, 2019.
IV. PERFORMANCE REPORTS AND COMPENSATION
A. The AGENCY will provide to the CITY within 15 days of the close of each
calendar quarter a status report consisting of program statistics setting forth the type and level of
services provided to the participating cities, as well as financial information pertaining to the
contract agreement and expenditures. Examples of format and minimum contents of these reports
are set forth in Exhibits 1 to 5 to this Agreement, which are incorporated by this reference.
B. The AGENCY will prepare and submit to the CITY two program evaluation reports
denoted "outcomes reports" to document the activities conducted by the Agency and to
demonstrate how these activities enhanced the safety of the communities served by the program.
These reports will provide information as set forth in Exhibit 5 to this Agreement, and will be
submitted to the CITY at the end of the first and last quarters of the calendar year.
C. The AGENCY agrees to submit a report to the CITY no later than the last quarterly
invoice date, describing the progress and activities performed for the previous year's scope of
services.
D. As full and total payment for the services provided under this Agreement, the
CITY agrees to pay the AGENCY up to $120,000 in 2019. The CITY will pay an amount
equal to one-quarter of the total annual amount within thirty (30) days following the CITY's
receipt of quarterly invoices. The required format and content of quarterly invoices is set forth
in Exhibit 2 to this Agreement, and is incorporated by this reference.
V. INDEMNIFICATION
AGENCY will defend, indemnify and hold the CITY and each of the Cities, their officers,
officials, employees, and volunteers harmless from any and all claims, injuries, damages,
losses, or suits including attorney fees, arising out of or resulting from the acts, errors, or
omissions of the AGENCY, its employees, agents, or subcontractors, in performance of this
Agreement, except for injuries and damages caused by the sole negligence of the CITY or Cities.
If a court of competent jurisdiction determines that this Agreement is subject to RCW
4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent negligence of the AGENCY and
the CITY or one or more of the Cities, their officers, officials, employees, and volunteers, the
Agency's liability hereunder shall be only to the extent of the Agency's negligence. It is further
specifically and expressly understood that the indemnification provided herein constitutes the
Agency's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes

of this indemnification. This waiver has been mutually negotiated by the parties. The provisions
of this section shall survive the expiration or termination of this Agreement.
VI. INDEPENDENT CONTRACTOR/ASSIGNMENT
The parties agree and understand that the AGENCY is an independent contractor and not
the agent or employee of the CITY or any of the Cities, and that no liability will attach to the
CITY or any of the Cities by reason of entering into this Agreement. The services required of
the AGENCY under this Agreement may not be assigned or subcontracted by the AGENCY
without the prior written consent of the CITY.
VII. INSURANCE
The AGENCY will procure and maintain for the duration of this Agreement insurance
against claims for injuries to persons or property which may arise from or in connection with
services provided by the AGENCY, its agents, employees, or volunteers under this Agreement.
The AGENCY agrees to provide comprehensive general liability insurance and will maintain
liability limits of not less than ONE MILLION DOLLARS ($1,000,000) combined single limit
coverage per occurrence for bodily injury, personal injury, and property damage. Where
professional services are provided as part of the services rendered pursuant to this Agreement, as
shown in Exhibit 4, the AGENCY shall also provide and maintain professional liability coverage
including errors and omissions coverage in the minimum liability amount of ONE MILLION
DOLLARS ($1,000,000) combined single limit per occurrence for bodily injury, personal injury,
and property damage. Any deductibles or self- insured retentions in either policy must be
declared to and approved by the CITY and the Cities. At the option of the CITY, and the
Cities, either: The insurer shall reduce or eliminate such deductibles or self-insured retentions as
respects the CITY and the Cities, their officials and employees; or, the AGENCY shall procure
a bond guaranteeing payment of losses and related investigations, claim administration, and
defense expenses. The policies are to contain or be endorsed to contain the following provisions:
A. GENERAL LIABILITY COVERAGE
The CITY and the Cities, their elected and appointed officials, employees, and agents are
to be covered as additional insured for liability arising out of services and activities performed by
or on behalf of the AGENCY, its employees, agents, and volunteers. The coverage shall contain
no special limitations on the scope of protection afforded to the CITY and the Cities, or to their
elected and appointed officials, employees, or agents.
B. GENERAL LIABILITY AND PROFESSIONAL LIABILITY COVERAGES
1. The AGENCY's insurance coverage shall be primary insurance for the CITY
and the Cities, their officials, employees, and agents. Any insurance or self- insurance
maintained by the CITY and the Cities, their officials, employees, or agents shall be in excess
of the AGENCY's insurance and shall not contribute with it.

2. Any failure to comply with reporting provisions of the policy shall not affect
coverage provided to the CITY and the Cities, their officials, employees, or agents.
3. Coverage shall state that the AGENCY's insurance shall apply separately to
each insured against whom a claim is brought or suit is brought except with respect to the limits
to the insurer's liability.
4. Coverage shall not be suspended, voided, or cancelled, unless 30 days prior
written notice has been given to the CITY, and the Cities, in accordance with all applicable laws
and policy provisions. The AGENCY agrees to provide copies of the Certificates of Insurance
to the CITY, and the Cities, at the time that this Agreement takes effect.
5. The AGENCY shall furnish the CITY, and the Cities, with Certificates of
Insurance, and with original endorsements affecting coverage required by this clause. The
certificate and endorsements for each insurance policy are to be signed by a person authorized
by that insurer to bind coverage on its behalf. The CITY, and the Cities, reserve the right to require
complete, certified copies of all required insurance policies at any time.
6. The AGENCY shall include all volunteers, employees, and agents under its
policies or shall furnish separate certificates and endorsements for each. All coverage for
volunteers shall be subject to all the requirements stated herein.
7. Commercial General Liability insurance shall cover liability arising from premises,
operations, independent contractors, products -completed operations, stop gap liability, personal
injury and advertising injury, and liability assumed under an insured contract.
Provider's maintenance of insurance as required by the Agreement shall not be construed
to limit the liability of the Provider to the coverage provided by such insurance, or otherwise limit
the City's recourse to any remedy available at law or in equity.
VIII. NONDISCRIMINATION
The AGENCY will not discriminate in any services or programs to which this Agreement
may apply directly or through contractual or other arrangements on the grounds of any protected
class status as defined by any national, state, or local laws or ordinances including but not
limited to race, color, creed, religion, national origin, sex, sexual orientation, age, or the presence
of any sensory, mental, or physical handicap.
IX. BOOKS AND RECORDS
The AGENCY agrees to maintain separate accounts and records in accordance with
State Auditor's procedures, including personnel, property, financial and programmatic records
which sufficiently reflect direct and indirect costs and services performed under this Agreement.
The AGENCY agrees to maintain all books and records relating to this Agreement for a period

of three (3) years following the date that this Agreement is expired or otherwise terminated.
The parties agree that the CITY may inspect such documents upon good cause at any reasonable
time within the three (3) year period.
X. TERMINATION OF AGREEMENT
This Agreement may be terminated by either party upon thirty (30) days written notice
should the other party fail substantially to perform in accordance with its terms through no fault
of the other.
XI. SEVERABILITY AND SURVIVAL
If any term, condition or provision of this Agreement is declared void or unenforceable
or limited in its application or effect, such event shall not affect any other provisions and all other
provisions shall remain filly enforceable. The provisions of this Agreement, which by their sense
and context are reasonably intended to survive the completion, expiration or cancellation of this
Agreement, shall survive termination of this Agreement.
XII. ENTIRE AGREEMENT, MODIFICATION
This Agreement, together with attachments or addenda, represents the entire and integrated
agreement between the CITY and the AGENCY and supersedes all prior negotiations,
representations, or agreements written or oral. No amendment or modification of this
Agreement shall be of any force or effect unless it is in writing and signed by the parties.
XIII. GENERAL PROVISIONS
A. This Agreement will be governed by the laws, regulations and ordinances of the
City of Auburn, the State of Washington and if applicable, federal laws. Any actions to
enforce provisions of this Agreement shall be filed in King County Superior Court.
B. The AGENCY agrees to conduct its activity in such a manner as to advance
the goals identified in the attached Joint Funding Agreement. The AGENCY understands that the
performance indicators will be used by the City as a measurement tool in determining if the goals
have been achieved.
C. The CITY and the AGENCY respectively bind themselves, their successors,
volunteers, assigns, and legal representatives to the other party to this Agreement and with respect
to all covenants to this Agreement.
D. This Agreement represents the entire and integrated Agreement between the CITY
and the AGENCY and supersedes all prior negotiations. This Agreement may be amended only
by written instrument signed by both the CITY and the AGENCY.
E. Should it become necessary to enforce any term or obligation of this Agreement,

then all costs of enforcement including attorney's fees, expenses, and court costs will be paid
to the substantially prevailing party.
F. The .AGENCY agrees to comply with all local, state and federal laws applicable
to its performance under this Agreement.
G. Any waiver by any party of any default of the other party will not affect or impair
any right arising from any subsequent default.
H. Any notice required or permitted under this Agreement may be personally served,
or given in writing, and will be deemed sufficiently given or served if sent by registered or certified
mail addressed to the respective parties as follows:

SERVICE AGREEMENT
2019 SCOPE OF SERVICES
The City of Auburn, on behalf of the Valley Cities Association, is entering into an agreement with the YMCA
of Greater Seattle (YMCA) to conduct Street Outreach including Community Violence Response, to youth
involved in gangs, violence, and the juvenile justice system in the South King County cities of Auburn, Kent,
and Renton as described herein. Alive & Free is the Street Outreach provider for the regional
implementation of the Office of Juvenile Justice Delinquency Prevention (OJJDP) Comprehensive Gang
Model (CMG). Implementation of the CMG is facilitated as part of the (former) Suburban King County
Coordinating Council on Gang's (SKCCCG) efforts to reduce gang violence across King County. SKCCCG
is now convened as the LINC Steering Committee, and each participating City is present at the Steering
Committee to ensure regional collaboration.
Outreach activities are intended to introduce and engage youth into services and to provide an opportunity
to build relationships with positive role models. Outreach workers provide a point of contact for those
affected by violence. They go where the youth are and provide a bridge, connecting youth and families with
services and support. Outreach workers cultivate relationships with youth and families that continue through
the service intake process. If a youth is not engaging in the referred services, the outreach worker plays a
key role in reaching out to the youth and involving the youth in various programs. In addition, Outreach
workers provide early intervention during crisis and are trained and expected to de-escalate situations
during crisis.
YMCA Responsibilities
The YMCA will assume direct responsibility for managing street outreach team and achieving targets. The
YMCA will be responsible for supervision, training, support and evaluation of all YMCA Alive & Free staff.
The YMCA Alive & Free program will oversee all Community Violence Response, street
outreach/institutional in -reach and community building activities, and juvenile justice coordination of the
YMCA Alive & Free program as follows:
1. Hire and manage personnel
a. Hire, train and supervise outreach workers as funded by the partnership. Outreach workers
are expected to have a background that relates to youth. Skills include:
• Knowledge of local street and gang culture
• Experience conducting street -level community outreach, particularly with this
focus population
• Experience delivering youth development programs
• Experience in conflict resolution
• Ability to be on call and to work late evenings and weekends
• Ability to adapt to change
• Ability to maintain boundaries
• Ability to communicate clearly in writing and verbally
b. Ensure outreach workers collaborate with South King County partner agencies/service
providers to share information, resources and opportunities for youth
c. Ensure all outreach workers have received training in protocols for working with law

enforcement
d. Dedicate a management level liaison to be the primary point of contact between law
enforcement and outreach workers
2. Provide Street Outreach/ Institutional In -reach and Community Buildinq
a. Outreach workers' roles include:
1. Meeting and identifying youth in the community who require services to reduce their
risk factors for violence, gang, and juvenile justice system involvement
2. Building caseloads of youth clients in contracted South King County cities (Auburn,
Kent, Renton) based strategic hot -spot monitoring, school- and community- based
outreach, and community violence response
3. Bringing awareness of community services to youth and their families
4. Serving as advocates for youth to secure appropriate services, education or other
opportunities
5. Engaging youth to actively participate in services by facilitating their intake and
coordinating their meetings with the service providers, as necessary
6. Identifying appropriate partner schools serving highest risk youth in South King
County to support the reduction of incidents of violence in their schools
7. Providing safe passage and support school security staff and school emphasis
officers if there is an incident of violence at the target schools
8. Resolving conflict and defusing violent situations and de-escalating potential
retaliatory violence by youth
9. Documenting contacts with youth
10. Community event safety planning and coordination with key partners
11. Completing regularly scheduled community Outreach "Spot -Checks"
12. Providing in -reach to clients in school and juvenile justice facilities
3. Provide Community Violence Response
a. YMCA Alive & Free will work with police departments in contracted cities to draft and revise
protocols for collaborative partnership, including a partnership agreement outlining mutual
roles and responsibilities (ATTACHMENT A).
b. YMCA Alive & Free will respond to incidents of community violence involving youth by
following the attached Community Violence Response procedures. (ATTACHMENT B) Alive
& Free will also provide coordination of safety planning and staffing for major community
events to prevent violence.
c. Community Violence Prevention and Response includes:
Spot Checking: Outreach workers visit locations where high risk youth are known to
congregate and engage youth, de-escalating and mediating tension when needed, and
when appropriate notifying law enforcement to prevent Incidents of community violence.
Inreach: Outreach Workers meet with youth and families if there is an incident of violence.
They go to schools, King County Juvenile Detention and hospitals to provide mediation,
de-escalation, and resources.
Rumor control, de-escalation, and mediation: Outreach workers manage rumors and
provide de-escalation and mediation to prevent retaliation.

Follow-up Support: Alive & Free hosts debriefs with Outreach team and appropriate
community partners to plan strategies to diffuse further tension. Alive & Free also provides
support services to victims, perpetrators, and their families, including accompanying family
to hospitals, supporting planning of memorial, vigil and funeral, and conducting in -reach to
detained youth.
Major Event Safety Planning: Provided in partnership with key community stakeholders to
strategize and promote safety at large events attended by youth where there is a precedent
of violence.
4. Juvenile Justice Coordination:
a. YMCA Alive & Free will partner with King County Superior Court Juvenile Division to provide
outreach to youth who reside in South King County to support their completion of court
commitments and juvenile probation.

Overview

(KPD), and Renton Police Department (RPD) are partners in reducing community violence. This
Partnership Agreement serves to illustrate the value of this partnership and to identify roles and
communication procedures for both the YMCA's outreach program and these Police Departments.
The YMCA's Alive & Free program provides street outreach services to the cities of Seattle, Auburn, Kent,
and Renton. Outreach activities are intended to introduce and engage youth into services and to provide
an opportunity to build relationships with positive role models. Outreach workers provide a point of contact
for those affected by violence. They go to where the youth are and provide a bridge, connecting youth and
families with services and support. Outreach workers cultivate relationships with youth and families that
continue through the intake process. If a youth is not engaging in the referred services, the outreach worker
plays a key role in reaching out to the youth and involving the youth in various programs. In addition,
outreach workers provide early intervention during crisis and are trained and expected to de-escalate
situations during crisis.
Outreach workers' roles include:
1. Bringing awareness of services to youth.
2. Engaging youth to actively participate in services by facilitating their intake and
coordinating their meetings.
3. Meeting with program/service staff on a regular basis to review status of caseload.
4. Making valid referrals to services.
5. Resolving conflict and defusing violent situations.
6. De-escalating potential retaliatory violence by youth.
7. Documenting contacts with youth.
8. Building community awareness about the services available for youth.
9. Community event safety planning and coordination with key partners including but not
limited to: PD, School Emphasis/Resource Officers, Parks and Recreation, and service
coordinators. Other major events may be scheduled upon agreement between partner
cities, YMCA and other partners.
Outreach workers are expected to have a background that relates to youth. Skills should include:
1. Knowledge of street and gang culture.
2. Experience conducting street -level community outreach, particularly with the program's
focus population.
3. Experience delivering youth development programs.
4. Experience in conflict resolution.
5. Ability to be on call and to work late evenings and weekends.
6. Ability to adapt to change.
7. Ability to maintain boundaries.
8. Ability to communicate clearly in writing and verbally.
Responsibilities of Each Police Department Partner
1. Each Police Department (PD) agrees to designate a liaison based on ability to work with community
agencies, ability to bring key partners to discussions about services offered in partnership with the
YMCA, and strong track record of discretion in decision making.
The PD liaison will be the point of contact with the designated YMCA liaison, and will:

a. Provide an annual overview/training to YMCA outreach workers to increase their understanding of
police practices and include any other PD staff as relevant.
b. Communicate with YMCA liaison within 24 hours following an incident of violence impacting youth.
c. Provide basic information about incidents of violence involving youth- such as date/time of incident,
location of incident, age of victim (if known).
d. Participate in the YMCA's coordination of Community Violence Safety Planning, including attending
meetings.
e. Provide overview of partnership activities to other PD units as needed to ensure boundaries of
interaction with outreach workers are maintained. For example:
i. Outreach workers are trained to follow instructions given by police officers and to not
demonstrate any special relationship with officers or units.
ii. Outreach workers are trained to not engage in unnecessary conversations with police
officers while they are in the field.
iii. Outreach workers are trained to use a chain of communication in the field, and all questions
regarding their work from police officers can be deferred to the PD liaison, YMCA manager
or supervisor.
iv. The role of outreach workers is intervention -focused youth work. Outreach workers are not
PD adjuncts or confidential informants.
f. Understand and be able to explain appropriately the partnership between outreach and Police
Departments during promotional, media, or public hearings. To protect outreach worker safety, the
explanation of this relationship should reflect the roles and responsibilities outlined in this
Partnership Agreement.
g. Participate with the YMCA during hiring of street outreach workers to ensure the background of
new hires will not interfere with the Y's effective partnership with PD.
h. The PD liaison will direct any police inquiries involving Alive & Free youth clients, staff or volunteers
to the YMCA liaison.
i. Partner with the YMCA street outreach team to create strategies for safely working together at
major community events, such as Torchlight Parade, including participation in pre -event meetings
and trainings as necessary.
j. Provide aggregate data (with no identifying information for either victims or perpetrators) for youth -
involved violent crime in the Cities of Auburn, Kent, or Renton by neighborhood, on an annual basis,
including number of offenses, types of crimes, and suspect/victim demographics.
k. Coordinate meetings with other PD staff as needed.
Responsibilities of YMCA of Greater Seattle
1. The YMCA of Greater Seattle agrees to designate a YMCA liaison to be the point of contact with a
designated PD liaison, who will:
a. Communicate with PD about the scope of outreach work and any outcomes of partnering with PD.
b. Provide general information regarding current trends in youth violence observed by outreach staff.
c. Consult with PD during the hiring of street outreach workers, to ensure new hires of outreach
workers do not present a conflict of interest.
d. Share names and photos of street outreach team for dissemination among other PD units, so
outreach workers may safely participate at events where PD will be present.
e. Immediately notify police when made aware of pending community violence or officer safety issues.
f. Train outreach workers in YMCA policies and procedures for safely reporting information related to
youth criminal activity.
g. Share with PD liaison the Community Violence Safety Plan created after an incident of youth
violence.
h. Notify the Program Director and the YMCA's Risk Management and Human Resources
Departments, as appropriate to follow internal YMCA policies for managing inquiries made by PD
regarding Alive & Free youth clients, staff, or volunteers.
ATTACHMENT A
The term of this agreement shall be in effect through the duration of the YMCA of Greater Seattle's
involvement in the Valley Cities Violence Prevention collaborative. Each partner may terminate their
partnership in this agreement at any time.
