AMENDMENT TO AGREEMENT FOR SERVICES AG-S-117
RELATING TO HVAC REPAIR AND MAINTENANCE
THIS AMENDMENT TO THE AGREEMENT is made and entered into this a-today of
, 2020, by and between the CITY OF AUBURN, a municipal corporation of the
State of Was ngton (hereinafter referred to as the "CITY"), and MACDONALD MILLER
FACILITY SOLUTIONS, INC. (hereinafter referred to as the "PROVIDER"). The City and
Provider agree to amend the Agreement AG-S-117 executed on the 26th day of November,
2019.
The changes to the Agreement are described as follows:
1. SCOPE OF SERVICES: The scope of work is amended to include the following tasks that
will be performed in a good and professional manner: See Amended Exhibit A, which is
attached hereto and by this reference made part of this Amendment.
2. COMPENSATION: The amount of this amendment is $12,362.00 plus Washington State
sales tax of$1,236.20 for a total increase of$13,598.20. As total compensation for the
Provider's performance of the services provided based on this Amended Agreement, the
City shall pay the Provider fees and costs not-to-exceed $118,539.30 for 2020. See
Amended Exhibit B, which is attached hereto and by this reference made part of this
Agreement.
REMAINING TERMS UNCHANGED: All other provisions of the Agreement between the parties
for AG-S-117 executed on the 26th day of November 2019, shall remain unchanged, and in full
force and effect.

MacDonald-Miller will perform comprehensive system maintenance tasks and
check system performance in accordance with a program of standard routines as
determined by our experience,the equipment manufacturer's recommendations,
equipment application and location.Through this service we will help to assure your
mechanical equipment continues to operate efficiently,safely and with fewer
operating disruptions during the equipment life-cycle.
As appropriate for each type of equipment,the inspections and maintenance
include testing, aligning, calibrating,lubricating and recording of specific pressures
and temperatures. Details of this seasonal maintenance and inspection are
provided in the attached MacDonald-Miller Maintenance Task section for each unit
and season.
Indoor Air Quality Filter Services
QUARTERLY:AHU'S,RTU'S
To maintain a consistently high level of indoor air quality, reduce energy costs and
avoid excessive equipment wear and tear, MacDonald-Miller will furnish and install
new pleated filters in each unit.We employ an innovative air filter specifically
designed for Northwest climate conditions.This filter is crafted with self-supporting
media that provides a form and fit not found in the most commonly used filters-

Standard Repair and Replacement Services
To reduce the effects of system downtime and minimize repair costs we will repair
or replace failed or worn components.This will promote peak operating condition
for your system.Components suspected of being faulty may be repaired or
replaced in advance to reduce the occurrence of system interruptions.
Repairs will be made up to the authorized limit listed under Repair Authorization. If
repair costs exceed this limit,we will provide a report of conditions and a proposal
for authorization of repairs. Labor and material costs are excluded and will be billed
at the Service Agreement Customer rates.
MacDonald-Miller excludes any work in connection with duct cleanliness, including
investigating and evaluating duct cleanliness and work related to duct cleaning. It is
the owners'responsibility to assure all duct systems are clean and hazard free and
comply with all health and safety standards.
Standard Emergency Services
Upon your notification to the MacDonald-Miller Service Coordination Call Center,
we will provide emergency services to reduce the costs and disruptions of
downtime when an unexpected problem occurs.This service is available between
planned maintenance calls,24 hours/day,7 days/week. Non-emergency calls, as
determined by your staff and MacDonald-Miller,will be incorporated into the next
scheduled service call.The cost of these services is outside the scope of this
agreement and will be billed at the Service Agreement Customer rates.
Account Management
To ensure quality service and that your facility needs are being met, a dedicated
Account Manager will schedule regular meetings with you to discuss our
performance.Topics covered will include your technical building systems,your
facility, and evolving organizational objectives and strategies.This is also an
opportunity to discuss recommendations on ways we can adjust our service support
PFa program to better meet your needs.

Effective Date & Duration of Agreement
Coverage will begin upon mutual acceptance between City of Auburn and MacDonald-Miller Facility Solutions of the
scope of work and attachments.The agreement will remain in effect for a consecutive year and will automatically
renew on a yearly basis thereafter.This agreement will be evaluated on an annual basis and will be escalated by a
minimum of four percent due to increasing labor and material costs.
Standard Repair & Charges
All repair labor and materials are excluded from the scope of this agreement and will be billed at our preferred
customer rate, including our standard truck charge per callout.All work performed outside of normal working hours
will be billed at 1.5 times the normal rate with the exception of Sundays and holidays which will be billed at 2 times
the normal rate.
Repair Authorization
All necessary minor repairs up to $750.00 will be completed by MacDonald-Miller Facility Solutions without
further authorization.
