AGREEMENT
In consideration of Crest Resource Recovery ('Crest') acceptance of certain specified
tested material, the owner of the material ('Owner') and Crest hereby represent and
agree as follows:
Prior Testing: A certified testing company has tested for analytical
parameters the material which Crest is to accept pursuant to this agrcement
('Material'). The results of its testing will be provided to Crest for approval
prior to acceptance of the material.
Representations and Warranties:
2.1 No Alterations: To the knowledge of Owner, no one has added to or
altered this material since the testing referred to in paragraph 1 was
conducted.
2.2 Test Accuracy: To the knowledge of Owner, the tests results reflected in
the analytical results from a certified testing company are accurate.
2.3 No Post-Testing Changes: To the knowledge of Owner, nothing has been
done, either before or after the testing referred to in paragraph 1, that
would in any way affect the accuracy of the test results.
2.4 No Non-Disclosed Hazardous Elements: The material contains no
substance that is liquid, putrescible, or that is or could be considered toxic
or hazardous, except as indicated in the test results referred to in
paragraphs 1 through 2.4 of this agreement.
2.5 Material Labeling: The Owner warrants that the Material is properly
classified, described, packaged, marked, and labeled, and is in proper
condition for transportation according to the applicable regulations of the
United States Department of Transportation, United States Environmental
Protection Agency, State of Washington Utilities and Transportation
Commission, State of Washington Department of Ecology, and ~xny other
applicable federal, state or local agency.
2.6 Accuracy: The Owner warrants that all information in this agreement and
all information in the attachments hereto is true and complete and
accurately depicts the Material.
3. Title: Title to the Material shall, upon actual delivery to Crest ]Resource
Recovery's facility, be deemed to be vested in Crest. The Owner shall :not have
any right to recovery or any credit for the potential value of any subst~tce
contained in such materials.
4. Compliance: Crest shall comply with all applicable federal and state
laws, maintain ail necessary permits, and comply with all permit conditions and
requirements while storing, handling, processing and disposing of the Material.
5. Price: Crest Resource Recovery agrees to Transport,
Dispose/Remediate and Recycle Street Wastes (catch basin solids, vactor waste,
street sweepings, storm ditch waste, storm detention pond clean out) for $28.00
per ton from the date of this agreement through December 31, 2004.
This agreement will automatically renew unless 30-day advance written notice is
given by either party.
6. Insurance: Crest agrees to maintain liability insurance coverage of
$1,000,000.00 or more per occurrence and provide evidence that Owner is named
as an additional insured on Crest's Liability Insurance Policy.
