A RE$OLUTION OF THE CITY COUNGIL OF THE CITY OF
AUBURN, WASHINGTON, AUTHORIZING THE MAYOR TO
EXECUTE A THIRD ADDENDUM TO THE AGREEMENT
BETWEEN THE CITY OF AUBURN AND AVIATION
MANAGEMENT GROUP, LLC
WHEREAS, the City of Aubum and Aviation ManagemeM Group, LLC entered into
an agreement on November 18, 2013, for fhe day to day operation and management of
the Auburn Municipal Airport with the term of said Agreement being from January 1, 2015,
to December 1, 2015; and
WHEREAS, the City Council approved Resolution No. 5166 on September 14,
2015, authorizing the First Addendum to the Agreement that was executed on October 5,
2015; and
WHEREAS, the First Addendum extended the term of 4he Agreement to December
31, 2016; and
WHEREAS, on December 19, 2016, the City Council approved Resolution No.
5265 authorizing a Second Addendum, which Second Addendum extended the term of
the Agreement to March 31, 2017; and
WHEREAS, the parties wis.h to e.xtend the term of the agreement for an another
sixty (60) calendar days to allow for additional negotiations to address the few remaining
issues.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, HEREBY RESOLVES as follows:
Section 1. That the Mayor is hereby authorized to execute a Third Addendum
to the Agreement initially executed on November 18, 2013, for the day to day operation

and management of the Auburn Municipal Airport Services in substantial conformity wi4h
the Third Addendum attached hereto as Exhibit A.
Section 2. That the Mayor is authorized to implement such administrative
procedures as may be necessary to carry out the directives of this legislation.
Section 3. That this Resolution shall take effect and be in full force upon
passage and signatures hereon.

ADDENDUM NO. THREE TO THE AGREEMENT
BETWEEN THE CITY OF AUBURN AND AVIATION
MANAGEMENT GROUP, LLC EXTENDING THE
CURRENT SERVICES AGREEMENT FOR DAY-TO-
DAY OPERATION AND MANAGEMENT OF THE
AUBURN MUNICIPAL AIRPORT
THIS ADDENDUM is made and entered into 4his ��day ofCrn�� ,
20�, by and between fhe CITY OF AUBURN, a municipal corporation of the State of
Washington (hereinafter referred to as the "City"), and AVIATION MANAGEMENT
GROUP; LLC (hereinafter referred to as "AMG'), as a Third Addendum to the
Agreement between the parties for day to day operation and management di the
Aubum Municipal Airport initially executed on the 184h day of November, 2013, with the
first addendum to the Agreement executed on the 5th day of October, 2015, following
City Council passage of Resolution No. 5166 on the 14t" day of September, 2015',
authorizing said first addendum, and with the second addendum to tHe Agreement
executed on the 19th day of December, 2016, following City Council passage of
Resolution No. 5265 on the 19th day of December, 2016, authorizing said second
addendum.
WITNESSETH:
WHEREAS, the parties hereto have heretofore contracted for airport operation
and management services for the Auburn Municipal Airport services and each
appreciates that contracting for such services provides a number of mutually beneficial
advantages, and in oriier to proVide further adVaritages for each of the parties, they
agree that 4he Agreement referred to above should be amended as provided herein
below; and
WHEREAS, the parties have mutually ag�eed to amend the agreement twice
previously, with the last Addendum extending the agreements term to March 31, 2017;
and
WHERAS, to address remaining issues with respect to a successor agreement, it
is appropriate to extend the ferm of the agreement again. "
NOW THEREFORE in consideration of their mutual covenants, conditions and
promises, the PARTIES HERETO HEREBY AGREE as follow"s:
ITEM ONE REVISION TO Secfion 10 of the Agreement, amended by
Addendum No. 1 executed on Octob.er5, 2015, and by Addendum No. 2 executed on
December 19, 2016: That Section 10 of the Agreement is amended to read as follows:

10. Term ofAgreement.
The Term of this Agreement shall be extended from its current termination
date on fhe 31St day of March, 2017 for a maximum period of sixty (60)
calendar days ending on May 30, 2017, unless othenvise agreed to in
writing by fhe parties.
ITEM TWO REMAINING TERMS UNCHANGED: That all other provisions of
the Agreement between fhe parties for day to day operation and management of the
Aubum Municipal Airport executed on the 18th day of November, 2013, with the frst
addendum to 4he Agreement executed on the 5"' day of October, 2015, following Gity
Council passage of Resolution No. 5166 on the 14�" day of September, 2015, and the
second addendum to the Agreement executed on the 19th day of December, 2016,
following City Council passage of Resolu4ion No. 5265 on the 19�h day of December,
2016, aufhorizing said second addendum.
IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the
day and year first above written.
